These Terms & Conditions (“Terms”) govern your use of the Bowla Design website at https://www.bowladesign.com.au/ (the “Website”) and your interactions with Bowla Design (“Bowla Design”, “we”, “us” or “our”).

By accessing or using the Website, you agree to be bound by these Terms. If you do not agree with these Terms, you should not use the Website.

These Terms apply to use of the Website only. Where you engage Bowla Design for professional services, a separate proposal, quotation, statement of work, service agreement or other written agreement may apply. If there is an inconsistency between these Terms and a signed agreement with Bowla Design, the signed agreement will generally prevail to the extent of that inconsistency.

  1. About Bowla Design

Bowla Design is a fashion design and product development business providing services including fashion design, product development, merchandise and manufacturing-related services.

Information about our services and capabilities on the Website is provided for general information and may be updated from time to time.

  1. Website use

You may use the Website for lawful purposes only.

You must not:

  • use the Website for any unlawful, fraudulent or malicious purpose;
  • attempt to gain unauthorised access to the Website or its systems;
  • interfere with the operation or security of the Website;
  • introduce viruses, malicious code or other harmful material;
  • copy, reproduce or exploit Website content except as permitted by law;
  • use automated systems to scrape, harvest or collect Website content without our written permission;
  • impersonate another person or misrepresent your identity or affiliation; or

  1. Enquiries and consultations

Submitting an enquiry or requesting a consultation does not automatically create a client relationship or contractual engagement between you and Bowla Design.

We may contact you to discuss your requirements, scope of work, pricing, timelines and other relevant matters.

Any engagement for professional services will be subject to the terms agreed between you and Bowla Design, which may include a proposal, quotation, scope of work or separate service agreement.

  1. Quotes, fees and services

Where Bowla Design provides a quotation, proposal or other pricing information, the terms, inclusions, exclusions, validity period and payment requirements stated in that document will apply.

Unless otherwise agreed in writing:

  • additional services or changes to the agreed scope may incur additional fees;
  • third-party costs may be charged separately;
  • manufacturing, sampling, freight, duties, taxes and other production costs may be subject to separate charges;
  • timelines may depend on third parties, suppliers, manufacturers and client approvals; and
  • work may not commence until required approvals, information or payments have been received.

Specific commercial terms will be set out in the relevant client agreement or quotation.

  1. Design and creative services

Fashion design, product development and related creative services may involve concepts, sketches, technical specifications, samples, prototypes, materials, colourways, production recommendations and other creative or technical work.

The exact scope of deliverables and the rights applicable to those deliverables will depend on the agreement between Bowla Design and the client.

Unless expressly agreed otherwise in writing, payment for a service does not automatically transfer ownership of all intellectual property associated with Bowla Design’s pre-existing materials, methodologies, processes, templates, know-how or other intellectual property.

  1. Client materials

If you provide us with photographs, artwork, logos, brand assets, measurements, specifications, designs, text or other materials (“Client Materials”), you represent that:

  • you have the right to provide those materials to us;
  • using those materials for the purpose for which they are provided will not knowingly infringe another person’s rights; and
  • you have obtained any necessary permissions or licences.

You remain responsible for the Client Materials you provide to us.

You grant Bowla Design the rights reasonably necessary to use, reproduce, modify or provide the Client Materials for the purpose of performing the agreed services.

  1. Intellectual property

Unless otherwise stated, the Website and its contents, including text, photographs, graphics, branding, logos, layouts, designs and other materials, are owned by or licensed to Bowla Design and are protected by applicable intellectual property laws.

You must not reproduce, modify, distribute, publish, sell, license or commercially exploit Website content without our prior written permission, except where permitted by law.

Nothing in these Terms transfers ownership of Bowla Design’s intellectual property to you.

  1. Portfolio and project imagery

Where permitted by the relevant client agreement and applicable law, Bowla Design may display completed work, designs, products or project imagery in its portfolio, Website, social media, marketing materials or other promotional channels.

If a project is confidential or subject to restrictions on publication, those restrictions should be agreed in writing with Bowla Design before the project commences.

  1. Third-party suppliers and manufacturers

Bowla Design may work with third-party suppliers, manufacturers, contractors, logistics providers and other service providers.

Where a project involves third parties, their availability, pricing, production schedules, shipping arrangements, quality and performance may be outside Bowla Design’s direct control.

Unless expressly agreed otherwise in writing, Bowla Design does not guarantee the performance of independent third-party suppliers or manufacturers.

Where appropriate, we will use reasonable care in selecting and coordinating relevant third parties.

  1. Samples, production and manufacturing

Where Bowla Design assists with product development or manufacturing, production outcomes may be affected by factors including:

  • material availability;
  • supplier availability;
  • manufacturing capacity;
  • production tolerances;
  • fabric and colour variations;
  • sample approvals;
  • client changes or delays;
  • shipping and customs;
  • international events; and
  • other circumstances outside our reasonable control.

Final production specifications, quantities, tolerances, costs and delivery arrangements should be confirmed in the relevant project documentation.

  1. Third-party links

The Website may contain links to websites or services operated by third parties.

These links are provided for convenience only. Bowla Design does not control or endorse third-party websites and is not responsible for their content, availability, security or privacy practices.

  1. Website availability and security

We do not guarantee that the Website will always be available, uninterrupted, error-free or free from viruses or other harmful components.

We may suspend, withdraw or modify the Website or any part of it without notice where reasonably necessary.

  1. Disclaimer

To the maximum extent permitted by law, Bowla Design excludes liability for loss or damage arising from your use of, or reliance upon, information contained on the Website.

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded, restricted or modified under applicable Australian law.

To the maximum extent permitted by law, Bowla Design will not be liable for indirect, incidental, special or consequential loss arising from your use of the Website or reliance on Website content.

Nothing in these Terms limits liability to the extent that such limitation is prohibited by law.

Where Australian Consumer Law or another applicable law implies a condition, warranty, guarantee, right or remedy that cannot lawfully be excluded, these Terms are subject to that requirement.

  1. Australian Consumer Law

Nothing in these Terms is intended to exclude, restrict or modify rights or remedies available to consumers under the Competition and Consumer Act 2010 (Cth), including the Australian Consumer Law, or any other applicable legislation where those rights cannot legally be excluded.

To the extent permitted by law, our liability for a breach of a non-excludable consumer guarantee will be dealt with in accordance with the applicable legislation.

  1. Indemnity

To the extent permitted by law, you agree to indemnify Bowla Design against losses, liabilities, claims, costs and expenses arising from your unlawful use of the Website, your breach of these Terms, or your infringement of another person’s rights.

This clause does not apply to the extent that the relevant loss was caused by Bowla Design’s own unlawful conduct or negligence.

  1. Privacy

Our collection and handling of personal information is governed by our Privacy Policy.

By using the Website or providing personal information to us, you acknowledge that you have read our Privacy Policy.

  1. Changes to these Terms

We may update these Terms from time to time.

Any updated Terms will be published on the Website with a revised “Last updated” date.

Your continued use of the Website after updated Terms are published constitutes acceptance of the updated Terms, to the extent permitted by law.

These Terms are governed by the laws of Victoria, Australia.

You submit to the courts and tribunals of Victoria, Australia and any applicable appellate courts in relation to matters arising from these Terms, subject to any mandatory rights or jurisdiction provided by applicable law.

If any provision of these Terms is found to be invalid, illegal or unenforceable, that provision will be read down or severed to the extent necessary, and the remaining provisions will continue to operate.

  1. Entire agreement

These Terms govern your use of the Website unless a separate written agreement applies to a particular service or project.

A separate client agreement, quotation, proposal or statement of work may contain additional terms that apply specifically to that engagement.
